- The nature of the dispute
- Relevant facts
- The requested resolution
Notice to Premier should be sent to:
Premier North America Inc.
1321 NW 65TH PL STE 3
Fort Lauderdale, FL 33309
United States
Email: customerservice@premierna.com
The parties agree to attempt in good faith to resolve the dispute for at least 30 days after receipt of the notice.
This requirement does not prevent either party from seeking urgent temporary relief where legally necessary.
33. Binding Individual Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
Except for claims excluded below, you and Premier agree that disputes arising out of or relating to:
- These Terms
- The Site
- An order
- A product purchased through the Site
- Communications with Premier
- The relationship between you and Premier
will be resolved by individual binding arbitration rather than through a lawsuit in court.
Arbitration will be administered by the American Arbitration Association (“AAA”) under its then-current Consumer Arbitration Rules and applicable Consumer Arbitration fee schedule.
The Federal Arbitration Act governs the interpretation and enforcement of this Arbitration Agreement.
Small Claims
Either party may bring an eligible individual claim in a small-claims court of competent jurisdiction instead of arbitration.
Format and Location
Consumer arbitration may be conducted through:
- Written submissions
- Telephone
- Videoconference
- Another mutually agreed remote format
- An in-person hearing where necessary
If an in-person consumer hearing is required, it will be held at a location reasonably convenient to the consumer or as otherwise required under the AAA Consumer Arbitration Rules or applicable law.

Arbitration fees will be allocated according to the AAA Consumer Arbitration Rules and applicable law.

- A consolidated action
- A representative action
except where applicable law provides a right that cannot legally be waived.
California Public Injunctive Relief
Nothing in these Terms is intended to waive a California consumer's non-waivable right, where applicable, to seek public injunctive relief.
If applicable law provides that a particular claim or remedy cannot lawfully be subjected to the individual-arbitration requirement, that claim or remedy will be handled as required by applicable law without invalidating the remainder of this Arbitration Agreement where legally possible.

To opt out, you must send written notice within 30 days after first becoming subject to these Terms.

Nothing in this section waives a right that applicable law does not permit a consumer to waive.
37. Governing Law
Except where federal law applies, these Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles.
This choice of law does not deprive a consumer of mandatory protections provided by the law of the consumer's state or jurisdiction where those protections cannot legally be waived.
For disputes not subject to arbitration, the parties consent to the jurisdiction of the appropriate state courts located in Broward County, Florida and the applicable federal courts in the Southern District of Florida, except where applicable law provides a consumer with a non-waivable right to bring a claim elsewhere.

If a provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will continue in effect to the maximum extent permitted by law.
If only part of a provision is unenforceable, that portion will be severed or limited to the extent necessary while preserving the remainder where legally possible.
